Tender Description:

JSC Nenskra Hydro (“Company”) announces a tender for sale of Camp, located in Village Tita, Nenskra Valley, Svaneti (“Camp”).

General Description:

Camp was constructed in 2015/2016 as temporary structure and all items for sale were imported during that period. It includes living, office, technical areas, like:

• Living and office containers
• Kitchen facilities
• Generators
• Heavy equipment and workshop area
• Waste management facilities
• Other items as per inventory list*

 *Refer to Annex 1 for the inventory list

 Location of the Items:

• Camp, including all items, is located in isolated and secured area in Village Tita, Nenskra Valley, Svaneti
• The delivery and handover of the Items shall take place at their actual location as mentioned above. 

Condition of the Items:

The items are in used condition and are sold strictly on an ’as is, where is’ basis. The buyer shall be fully responsible for arranging, performing, and bearing all costs associated with removal and transportation of the Items from their current locations. After the transfer of ownership, the Company shall not bear any liability or responsibility for any actions, works, or consequences related to the purchased/transferred Items. 

Special Condition for the Tender:

In addition to submitting the purchase price for the Items, Tenderers shall also provide a proposal for the additional required services (“Additional Required Services”) which shall include, but not be limited to, the following:

Complete Removal and Clearing Works:

The Awarded Tenderer shall remove and transport all purchased Items from the Camp territory (total area: 14,000 sq.m.). Upon completion of these works, no objects, waste, construction materials, or installations of any kind shall remain within the Camp area.

Restoration of the Camp Area:

Following the removal of the Items and all associated facilities, the Awarded Tenderer shall restore the entire Camp area to its pre-construction condition, ensuring that the site is left clean, safe, leveled (where required), and free of any obstructions or residues. 

The scope and execution timeline of these services shall be further specified in the agreement to be signed between the Company and the Awarded Tenderer.

Tender Conditions:

I. Interested Tenderers are required to submit the proposal (including purchase price and services price for Additional Required Services separately) to the following email addresses:

II. Visit to the Camp area and inspection of the Items by Tenderers can be organized by the Company for those who have submitted the LOI (letter of interest) in advance. During the inspection, if the Items are damaged due to the improper treatment by the Tenderers, those Tenderers shall compensate the Company for such damages;

III. Tender proposals for purchase shall be submitted for all items (Camp) with total purchase price (separate items are not subject for sale); Tender proposal shall also include proposal for Additional Required Services;

IV. Tenderers interested in purchasing the Items shall submit their Tender Proposal in accordance with the Annex 2 to the email addresses provided above, including their proposed purchase price for the Items and requested price for Additional Required Service (“Tender Price”); 

V.  The Tender Price shall include any applicable taxes (e.g. VAT)/duties, and the currency of the Tender Price shall be in US Dollars; 

VI. The awarded Tender shall be the Tender whose Net Offer Value is the highest. The Net Offer Value shall be calculated as follows:

• Net Offer Value = Purchase Price – Additional Required Services Price
• The Tender with the highest Net Offer Value shall be selected as the Awarded Tender. Only the Awarded Tender will be notified and invited to sign the respective Agreement

VII. The signing of the Agreement should be completed within 10 (ten) days after being notified as the Awarded Tenderer. Failure to sign the Agreement will be considered a disqualification. Then, the Company can negotiate with the Tenderer who submitted the second highest Tender Price;

VIII. Payment and accepting/taking over the Items shall be conducted based on terms of sales and purchase agreement. The failure to make respective payment by the Awarded Tenderer within the timeframe set by sales and purchase agreement, as well as the failure in accepting/taking over the Items and ensuring their removal/transportation from the Camp in set timeframe, leads to Awarded Tenderer’s responsibility for any additional expenses and may result in unilateral right to terminate the Agreement with Awarded Tenderer by the Company.

IX. Schedule of Tender

Visit to the Camp, if required by tenderers: before November 25, 2025 (before tender proposal submission date) 

• Submission of Tender Proposal: November 25, 2025 09:00AM~18:00PM
• * Early or late submission may not be accepted by the Company. Camp visits can be organized in advance, based on LOI submitted to e-mail addresses above. Such visits should not affect deadline of final submission of Tender Proposal
  - Notification of the Awarded Tenderer: November 26, 2025
  - Signing of the Agreement (deadline): December 10, 2025
• Payment: as per agreement
• Removal purchased Items from the Camp (deadline): as per agreement (taking into consideration winter weather condition)
• Removing of all waste and respective payment: as per agreement (taking into consideration winter weather condition)

The Company may modify or terminate this Tender at any time during the Tender procedure, at its discretion with no obligations or responsibilities.
